Circular resolutions
Let shareholders or board members vote on a resolution and sign it, without a meeting.

A circular resolution is a decision made outside a meeting: each participant votes on the proposal and then signs. In fynk, you add a voting block to the document. Participants vote first and sign right after.

Create a circular resolution
Create the document or template for the resolution. You can write it in the editor, upload a Word file, or start from the template gallery.
Add a party and signatory for each participant, for example each shareholder.
In the right-hand Insert element panel, add the signature blocks and choose Voting under Input fields.
If you used a template, create a document from it and fill in the details.
Click Start signing. Voting opens at the same time.
What participants do
Open the invitation email.
Click Vote now and cast their vote.
They're taken straight to signing and sign the resolution.
When everyone has voted and signed, the result is recorded in the document and all participants receive the signed PDF by email.
Good to know
Whether a circular resolution is valid, and in which form, depends on your articles of association and the applicable law. Many require that all participants agree to the circular procedure. Some require a qualified signature.
Each participant has one vote. Weighted voting, for example by share percentage, isn't supported.
Use a qualified signature (QES) if written form is required. See Qualified signatures (QES).
To reuse the same resolution format, build it once as a template.
You can also use an existing fynk document as the resolution. Add the parties, signature blocks and the voting block to it.
